Jeffrey B. McGroarty , Senior Vice President and Chief Financial Officer

Jeff has more than 20 years of accounting and financial experience. With a successful track record in corporate accounting, Jeff oversees all of Safeguard’s financial and reporting matters and guides Safeguard’s partner companies to help optimize their own financial operations.

As Senior Vice President and Chief Financial Officer at Safeguard, Jeff is responsible for the management of Safeguard’s accounting, financial operations, SEC reporting, treasury and tax functions, as well as human resources. In addition, Jeff provides guidance to Safeguard’s partner companies on accounting operations, valuations, internal controls, accounting and tax issues. Jeff joined Safeguard in December 2005 as Vice President and Corporate Controller.

Prior to joining Safeguard, Jeff was interim controller at Cephalon, Inc. (NASDAQ:CEPH), an international biopharmaceutical company. In addition, he was Vice President, Financial Planning and Analysis at Exide Technologies (NASDAQ:XIDE), a global manufacturer and recycler of lead-acid batteries. While at Exide, Jeff played a major role in the company’s reorganization and emergence from bankruptcy. Jeff began his career at PricewaterhouseCoopers LLP, where he had management responsibility for domestic and international audits, due diligence, consulting and post M&A integration in the U.S. and U.K.

A Certified Public Accountant, Jeff earned his B.A. in accounting from Pennsylvania State University and has an M.B.A. from The Wharton School of the University of Pennsylvania.

John E. Shave III , Senior Vice President, Investor Relations and Corporate Communications

As an accomplished entrepreneur, business development, and corporate communications executive, John’s career spans more than 20 years of achieving exceptional results in investor relations, public relations and marketing communications.

At Safeguard, John is responsible for planning, executing and managing all investor relations and corporate communications initiatives. John has played a critical role in Safeguard’s turnaround following the burst of the Internet bubble. During his tenure at Safeguard, as a result of strategic targeting initiatives and greater transparency, Safeguard’s stock price hit a 10-year high; average daily dollar trading volume increased 6x; the number of covering analysts increased from one to seven; and SFE has significantly outperformed its peer group and major indices, such as the Russell 2000 and Dow Jones, since Safeguard’s current management team came in.

Prior to joining Safeguard, John was Vice President of Investor Relations at The Reynolds and Reynolds Company, a $3 billion global provider of automotive retailing solutions for car dealers and automakers. During his tenure, he led communications campaigns for 11 M&A transactions valued at more than $2.8 billion, in aggregate. As the company’s business model transformed, John developed and implemented investor targeting programs and communications strategies that increased sell-side coverage, boosted trading volume, increased institutional ownership and shifted shareholder orientation from Value to GARP and Growth Investors, ultimately driving valuation.

Previously, John was Co-Founder and Managing Partner of U.S. operations for National Public Relations, Inc., Canada’s largest full-service investor and public relations consultancy. He had full P&L, business development and client services responsibilities. Before National Public Relations, John was an investor relations and corporate communications account executive for Thomson Financial / Georgeson & Company, and Robert Marston Corporate Communications, both based in New York City, where his clients included Apache Energy, Merrill Lynch and MasterCard International.

John has been a keynote speaker at numerous investor relations conferences in the U.S. and Canada. At the IR Magazine Think Tank 2012, John was a panelist on “What’s your ideal shareholder base and how do you get there.” Previously, he was the moderator and panelist at the 2011 and 2012 National Investor Relations Institute Annual Conferences. In addition, he has spoken on topics including IPOs and led the lecture series “The Evolving Role of IR Practitioners in Corporate America” at Susquehanna and Seton Hall Universities. John has also been quoted as an industry expert in many national, regional publications and industry publications throughout the course of his career. In 2006, John was named to the “Dayton Business Journal 40 Under 40” list of young business leaders. He earned a B.A. from Susquehanna University where he was named the Department of Communications Most Outstanding Student for 1992-1993 and is a graduate from the Stanford University Executive Institute.

Brian J. Sisko , Chief Operating Officer, Executive Vice President and Managing Director

Having managed more than 20 public offerings and negotiated dozens of mergers and acquisitions, strategic partnerships, and business development and financing transactions as a buyer, seller, investor, lender, borrower and issuer, Brian knows what it takes to accelerate company growth.

Brian has more than 25 years of experience working with start-up and growth-stage companies having served as an executive officer, investor, external legal counsel, internal counsel, and consultant. As Chief Operating Officer, Executive Vice President and Managing Director at Safeguard, Brian is responsible for Safeguard’s business development and platform expansion strategies, legal affairs, mergers & acquisitions, and support of Safeguard’s board and public company activities. Brian has been a senior executive at two Safeguard partner companies. In both situations, Brian was instrumental in negotiating and consummating exit transactions for the companies. Currently, Brian is a board member of Safeguard partner companies AdvantEdge Healthcare Solutions and NovaSom.

Brian joined Safeguard in 2007 as Senior Vice President and General Counsel. Prior to that, Brian was Senior Vice President and General Counsel at, a Safeguard partner company alumnae and a leading provider of accurate, real-time traffic information in the United States. Brian’s background and experience proved invaluable to when it was acquired by NAVTEQ Corporation (NYSE:NVT).

Previously, Brian was Chief Operating Officer of Halo Technology Holdings, a public holding company for enterprise software businesses. Prior to that, he was Managing Director at Katalyst LLC, a venture capital and consulting firm; Senior Vice President and General Counsel of National Media Corporation, a public multimedia company with operations in 70 countries; and was a Partner at Klehr, Harrison, Harvey, Branzburg & Ellers LLP, a full-service Philadelphia-based law firm.

Brian is a native of the greater Philadelphia region. He received a B.S. from Bucknell University and a J.D. from the University of Pennsylvania Law School.

Stephen T. Zarrilli , President and Chief Executive Officer

Steve leverages his demonstrated ability to successfully grow and manage a number of entrepreneurial and mature enterprises to uphold and further Safeguard’s distinguished track record of building market leaders.

Over the course of a 30 year career, Steve Zarrilli has served as CEO and CFO of both publicly traded and privately held, venture-backed companies. Having been directly involved with the launch of two businesses, Steve understands the operational and strategic challenges that entrepreneurs face. He understands what it takes to build a great company based on his deep domain expertise as an entrepreneur, board member and financier. Steve’s public and private company experience complements Safeguard’s rich history and ensures a strong, disciplined infrastructure going forward.

In addition to his responsibilities at Safeguard, Steve serves as a director of Nutrisystem, Inc. (NASDAQ:NTRI) and Virtus Investment Partners (NASDAQ:VRTS). Other board affiliations include Ben Franklin Technology Partners of Southeastern Pennsylvania (BFTP/SEP), LaSalle University and Safeguard’s partner companies Putney and Trice Medical.

Steve is a graduate of LaSalle University in Philadelphia earning a B.S. degree in Accounting. He is a former Certified Public Accountant, and is a frequent lecturer on corporate governance, financial management, organizational and capital development matters. He also completed the Advanced Management Program (AMP) at the Wharton School at the University of Pennsylvania.
